THE FREQATOMIC & CRYPTONAUTS NFT LICENSE AGREEMENT

Welcome to the crew. By purchasing and holding a Cryptonauts NFT, you aren't just buying a link to a file—you are unlocking a specific set of rights to use the master audio and artwork in your own creative projects. However, FreqAtomic retains the overarching intellectual property (IP) and copyright to ensure the universe remains intact. Here is exactly what you can and cannot do as long as you hold this NFT in your wallet.

1. THE AUDIO: MASTER TRACKS & STEM REQUESTS

We are handing you the keys to the studio so you can build alongside us, but we are strictly protecting the official FreqAtomic streaming channels and our major sync rights.

YES — PERMITTED USES & UGC MONETIZATION

You may use the master tracks as background music or incorporate them into your own original User-Generated Content (UGC), such as vlogs, gaming streams, tutorials, or short films. You are permitted to monetize this UGC on platforms like YouTube, Twitch, or TikTok (e.g., through ad revenue), provided the music is synchronized with substantial original visual content AND you strictly follow the MANDATORY CREDIT rule below.

YES — NON-COMMERCIAL AUDIO REMIXES & STEM REQUESTS

You are granted full permission to use the master tracks to create non-commercial audio remixes, DJ edits, and original musical compositions. While isolated stem files are not included in the standard Vault unlockable content, FreqAtomic welcomes collaboration with serious creators. If you hold a Cryptonauts NFT and wish to produce a non-commercial remix using stems, you may contact FreqAtomic Records directly. High-fidelity stem access will be evaluated and provided to verified token holders on a case-by-case basis. You may share your remixes on non-commercial platforms (e.g., SoundCloud, Bandcamp, YouTube, or live performances), provided that you do not distribute the tracks to commercial Digital Streaming Platforms (DSPs) such as Spotify, Apple Music, or Tidal, and you strictly adhere to the MANDATORY CREDIT rule below.

NO — FEATURE FILMS & MAJOR TV

This license applies strictly to UGC and short-form content. The use of this audio in feature-length films, television broadcasting, or commercial video games is strictly prohibited and requires a separate, traditional Synchronization and Master Use License from FreqAtomic.

NO — RESTRICTED USES & PURE DISTRIBUTION

You may not upload the full track (edited or unedited) to YouTube or any video platform for the primary purpose of streaming the song. You may not upload the audio to any Digital Streaming Platforms (DSPs) such as Spotify, Apple Music, Tidal, etc.

NO — CONTENT ID REGISTRATION

You may not register any content containing our audio (including your remixes or UGC) with YouTube Content ID or any other copyright-striking software. This is strictly prohibited to ensure the official FreqAtomic channels and other community members are not penalized.

MANDATORY CREDIT

If you use the audio or artwork in your digital content, you must provide clear attribution in the description or credits of the work. For example: "Featuring 'Black Hole Boyfriend' by Dead Orbit Summer. Produced by FreqAtomic Records."

2. THE VISUAL ART: DIGITAL, DERIVATIVES & PHYSICAL MERCH

We want you to build with our art and even profit from it in specific ways, while we protect the core comic book IP and canon.

YES — DIGITAL USE

You may use the artwork (character art, logos, single covers) for personal digital use, including as your social media profile picture (PFP), banner, or within your own digital communities.

YES — ANIMATION & DIGITAL DERIVATIVES

You may create single-scene digital Derivative Works based on the NFT artwork, such as animating a character loop, creating 3D models, or remixing the visuals into your own digital art for UGC. However, this strictly forbids the creation of any new storylines, sequential art, or comic scenes (see "NO Storylines" below).

YES — THE T-SHIRT EXEMPTION — UP TO $50,000 USD

You are granted a limited commercial license to manufacture, market, and sell physical T-shirts utilizing the NFT artwork, character logos, and comic panels associated with your specific NFT. You retain 100% of the revenue from these sales up to a cumulative gross revenue cap of $50,000 USD per calendar year.

NO — SALES EXCEEDING $50,000 USD

Any commercial merchandise or T-shirt production that exceeds $50,000 USD in cumulative gross annual revenue is strictly prohibited without entering into a separate, formal commercial licensing agreement directly with FreqAtomic Records.

NO — STORYLINES & COMIC CREATION

You may not use the characters, art, or universe to create new storylines, sequential art, comic books (digital or physical), graphic novels, or animated series. FreqAtomic retains the exclusive right to all storytelling, canon, and comic publication within the Cryptonauts universe.

NO — OTHER PHYSICAL MERCH

The commercial license applies strictly and only to T-shirts. You may not manufacture or sell hoodies, hats, stickers, posters, toys, or any other physical merchandise.

NO — MINTING NEW NFTS

You may not mint your Derivative Works or animations as new NFTs on any blockchain.

3. TRANSFERABILITY & SECONDARY SALES

This license is strictly bound to the current wallet holder of the Cryptonauts NFT.

AUTOMATIC TERMINATION UPON SALE

If you sell, trade, gift, or otherwise transfer your NFT to another wallet, your license under this agreement immediately and automatically terminates.

CEASE PRODUCTION

Upon transferring the NFT, you must immediately cease all commercial manufacturing (e.g., T-shirt production), UGC monetization, and distribution tied to the asset. All commercial and non-commercial rights automatically pass to the new wallet holder.

4. LEGAL DISCLAIMER

Cryptonauts NFTs, smart contract functionality, and unlockable Vault content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. FreqAtomic Records is not liable for wallet compromise, lost private keys, blockchain network disruptions, gas fee fluctuations, or third-party platform downtime. All NFT mints and purchases are final and non-refundable.
